Preparing Your Business for Sale

Selling a business is a major milestone for many entrepreneurs, research shows that a large percentage of businesses brought to market fail to sell. To improve your chances of a successful sale, we work closely with you to prepare. Our preparation process includes:

Business Review: We review your entire business using our tools and benchmarks, highlighting ways to increase the value of your business over time.

Identifying Gaps & Risk Management: We identify gaps that could affect the sale and highlight potential risks, such as; legal or financial issues, that might reduce the value of the business or complicate the sale.

We also assist with preparing the data room and key documents like the pitch deck and Information Memorandum (IM), and where necessary, attend leadership meetings to fully understand your business before the sale.

Target Buyers & Cultural Fit: We identify ideal buyers or investors and provide options for selling either a minority or majority share in your business. Beyond financials, we help identify parties who align with your company’s culture and values, ensuring a smooth transition for employees and customers.

Timing The Sale: Timing is a critical factor when selling a business, we help business owners assess the best time to sell, considering market conditions, industry trends, and economic factors. Selling at the right time can maximize the value of your business.

Post-Sale Transition: Whether you are exiting the business completely or continuing in a different role we offer support that includes options on reinvesting proceeds or managing any retained shares.

What does the process look like for Equity Transactions?

For Equity or Mergers & Acquisitions:

1. Initial discussions with you and your leadership to determine synergies.
2. A confidential due diligence and audit of the business is undertaken.
3. Letter of Intent (LOI), Investment Agreement or Term Sheet is issued for your consideration.
4. After due diligence is complete, a formal offer is given.
5. Subject to legal, regulatory, valuation and any other requirements, we proceed to deal completion.

* For M&A transactions, you can choose to retire or stay on after the sale of your business.
* Deals can be structured as equity release or long-term staged sale for your business.
* Our board of directors and advisers have completed multiple M&A transactions and have experience of all aspects required to complete transactions successfully.
